1. Acceptance of Terms

By accessing or using dataprep.dev ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and dataprep.dev.

2. Description of Service

dataprep.dev provides browser-based tools for cleaning, transforming, analyzing, and exporting structured data (CSV, Excel, JSON). All processing occurs client-side within your web browser using technologies including but not limited to WebAssembly, Web Workers, DuckDB-Wasm, and the File System Access API.

The Service is designed to operate without requiring user accounts, file uploads to remote servers, or persistent server-side data storage. Certain advanced features may in the future require authentication or server-side computation; if so, supplementary terms will be provided.

3. Use at Your Own Risk

3.1 Browser Limitations

Client-side data processing is subject to the hardware and software constraints of your device and browser environment. You acknowledge and agree that:

  • Processing large datasets may consume significant system memory (RAM), potentially causing your browser tab or entire browser instance to become unresponsive or crash (Out-of-Memory / OOM events).
  • Data held in browser memory is volatile. If your browser tab crashes, is closed, or is refreshed before you have explicitly exported or saved your processed output, any unsaved work will be permanently lost.
  • Browser performance varies significantly across devices, operating systems, and browser versions. Processing times cited in our documentation or marketing materials are indicative benchmarks and not guaranteed outcomes.

3.2 Data Integrity

You are solely responsible for maintaining backup copies of your original data files. You should always verify the output of any automated transformation against your source data before using processed results in production systems, business decisions, or regulatory filings.

4. Acceptable Use

You agree not to:

  • Use the Service to process data in violation of applicable laws, including but not limited to data protection regulations (GDPR, CCPA, etc.).
  • Attempt to reverse-engineer, decompile, or disassemble the Service's client-side code beyond what is permitted by applicable law.
  • Use automated scripts, bots, or scrapers to systematically access the Service's web pages or static assets in a manner that imposes unreasonable load on our infrastructure.
  • Redistribute, sublicense, or resell access to the Service without prior written consent.

5. Disclaimer of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, dataprep.dev DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability and fitness for a particular purpose.
  • Warranties that the Service will be uninterrupted, error-free, or completely secure.
  • Warranties regarding the accuracy, completeness, or reliability of any output generated by the Service.
  • Warranties that the Service will be compatible with all browser versions, operating systems, or hardware configurations.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL dataprep.dev, ITS OPERATORS, CONTRIBUTORS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
  • Any loss of data, loss of business, lost profits, or lost revenue, even if we have been advised of the possibility of such damages.
  • Any damages resulting from browser crashes, Out-of-Memory (OOM) events, tab freezes, or any other client-side failure that results in the loss of unsaved work or processed data.
  • Any damages arising from your reliance on output produced by the Service, including but not limited to business decisions, regulatory submissions, or automated pipelines.

In jurisdictions that do not permit the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

7. No Refund Policy

Where permitted by applicable law, all purchases of licenses, subscriptions, or one-time paid access to dataprep.dev features or products are final and non-refundable. We encourage you to thoroughly evaluate the Service using our free-tier tools and publicly available sample datasets before making any purchase decision.

If you believe a technical defect has materially prevented you from using a paid feature as described, please contact us within 14 days of purchase. Resolution of such cases is at our sole discretion and may include technical support, feature repair, or — in exceptional circumstances — a partial or full refund, subject to applicable consumer protection laws in your jurisdiction.

8. Intellectual Property

The Service, including its design, source code, documentation, sample datasets, and workflow templates, is the intellectual property of dataprep.dev and/or its contributors, protected by applicable copyright, trademark, and other intellectual property laws.

Where components of the Service are released under open-source licenses, those components are governed by their respective license terms, which take precedence over these Terms with respect to those specific components.

You retain full ownership of any data you process using the Service. We claim no rights over your input files or the output generated from them.

9. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also revise these Terms periodically. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after revised Terms are posted constitutes acceptance of those changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which dataprep.dev is operated, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the competent courts of that jurisdiction, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.
